Welcome to Raya Solutions!
This combined Terms and Conditions (“T&C”) and Privacy Policy (“Policy”) governs your access to and use of Raya Solutions’ website, as well as the professional services we provide, including the implementation, customization, integration, and support of enterprise resource planning (ERP) solutions such as ERPNext, Odoo, and Microsoft Dynamics 365 (“D365”). By accessing or using our website and services (“Services”), you acknowledge that you have read, understood, and agree to be bound by this Policy. If you do not agree, please discontinue using our Services.

Terms & Conditions

1. Definitions

  • "Raya Solutions," "we," "us," "our" – Refers to Raya Solutions, including its employees, officers, directors, affiliates, successors, and assigns.

  • "User," "you," "your" – Refers to any individual or entity accessing or using our Services.

  • "Third-Party Platforms" – Refers to ERPNext, Odoo, Microsoft D365, and any other third-party ERP solutions or software that we implement, customize, or support on your behalf.

  • "Canvass Apps, Mobile Applications & PowerApps" – Refers to any applications developed and maintained by Raya Solutions that extend ERP functionalities, workflow automation, or provide additional business solutions.

  • "Proprietary Software Solutions" – Includes any custom software, integrations, digital tools, and mobile applications developed by Raya Solutions for its clients.

2. Scope of Services

Raya Solutions offers professional services related to ERP implementation, customization, integration, configuration, training, and ongoing technical support. Additionally, we develop and maintain mobile applications, PowerApps, canvass apps, and proprietary software solutions. We do not own or control the Third-Party Platforms, and your use of these platforms is subject to the terms and licenses of their respective vendors. Raya Solutions shall not be liable for any loss, damages, or liabilities arising from your use of these platforms, including but not limited to downtime, security breaches, or software malfunctions.

3. Eligibility

You represent and warrant that you are at least 18 years of age or have reached the age of majority in your jurisdiction and have the legal capacity to enter into a binding agreement. If using the Services on behalf of an organization, you must have the authority to bind that organization to this Policy.

4. Acceptable Use Policy

Users agree not to:

  • Engage in fraudulent, illegal, or unauthorized activities.

  • Attempt unauthorized access to our systems, Third-Party Platforms, or proprietary software.

  • Infringe upon intellectual property rights.

  • Introduce malicious code into the Services, Third-Party Platforms, mobile applications, PowerApps, or canvass apps.

5. Third-Party Platforms & Software Integrations

Your use of ERPNext, Odoo, D365, or other Third-Party Platforms is subject to their respective vendor terms. We do not warrant their functionality, availability, or security and are not responsible for any third-party actions or changes that may impact your use of these platforms or any integrated software solutions.

6. Intellectual Property

  • Our Materials: All content, documentation, training materials, software customizations, mobile applications, PowerApps, canvass apps, and proprietary software developed by Raya Solutions remain our intellectual property unless agreed otherwise in writing.

  • Your Materials: You retain all rights to your existing data, trademarks, and proprietary information.

  • Custom Solutions: Ownership and licensing terms for custom-developed software, integrations, PowerApps, or digital tools will be defined in individual service contracts.

7. Confidentiality and Data Handling

Raya Solutions will implement appropriate measures to maintain the confidentiality and security of any sensitive business data we access during service delivery, consistent with our Privacy Policy.

8. Service Level Agreements (SLAs) and Additional Terms

Specific SLAs, support terms, and response times will be outlined in separate service agreements or statements of work (SOWs). These agreements take precedence over the general T&C in case of conflicts.

9. Disclaimers and Limitation of Liability

  • No Warranties: Services are provided "as is" without warranties of any kind.

  • Third-Party Disclaimer: We do not guarantee the performance or availability of ERPNext, Odoo, D365, or any other integrated third-party software.

  • Liability Limitation: To the extent permitted by law, Raya Solutions shall not be liable for indirect, incidental, or consequential damages. Direct liability, if any, shall be limited to the amount paid for the specific services rendered in the past three (3) months.

10. Indemnification

You agree to indemnify Raya Solutions against any claims, damages, or liabilities arising from your use of the Services, proprietary software, canvass apps, mobile applications, PowerApps, or any third-party integrations.

11. Modifications and Termination

We reserve the right to modify, suspend, or discontinue the Services at any time. Updates to this Policy will be posted with an updated Effective Date. Continued use of the Services signifies acceptance of changes.

12. Governing Law and Dispute Resolution

The laws of the Philippines govern. Disputes shall be resolved exclusively in the courts of Pasig City, Philippines.

13. Severability and Waiver

If any provision of this Policy is found to be unenforceable, the remaining provisions shall remain in effect. Our failure to enforce a right does not constitute a waiver.

Privacy Policy

Raya Solutions is committed to safeguarding your privacy and securing the Personal Data you entrust to us. This Privacy Policy outlines how we collect, use, share, and protect your Personal Data in compliance with the Data Privacy Act of 2012 (Republic Act No. 10173) of the Philippines.

1. Information We Collect

  • Personal Information: Name, email address, phone number, company name, job title.

  • Technical Data: IP addresses, browser type, operating system.

  • Usage Data: Pages visited, time spent on each page, and navigation patterns.

If we access or handle your ERP-related business data (e.g., financial records, sales figures, customer lists) during implementation or support, such data will be treated as confidential business information and protected accordingly.

2. Legal Basis for Processing

We process Personal Data under one or more lawful criteria:

  • Consent: With your consent for specific processing activities.

  • Contractual Necessity: To fulfill our obligations in providing agreed-upon Services.

  • Legitimate Interests: To improve our Services and understand user behavior, without unduly impacting your rights and freedoms.

  • Legal Obligations: To comply with applicable laws, regulations, or legal processes.

3. How We Use Your Data

We use your Personal Data to:

  • Provide, maintain, and enhance our Services, including ERP implementations and support.

  • Respond to inquiries and communicate updates.

  • Analyze usage for performance improvements.

  • Comply with legal obligations and protect our legal rights.

4. Data Sharing and Disclosure

We may share Personal Data with:

  • Service Providers: Under strict confidentiality obligations to assist in delivering our Services.

  • Business Transfers: In the event of mergers, acquisitions, or sale of assets.

We do not sell your Personal Data to third parties.

If we transfer Personal Data outside the Philippines, appropriate safeguards will be implemented to ensure continued protection of your information.
